AGREEMENT TO TERMS
These Terms & Conditions apply to all sales of goods and/or services by Directmeds Limited. By placing an order with us, using our website, or accepting delivery of goods, you agree to be bound by these Terms & Conditions, which shall prevail over any terms submitted by the Buyer.
If you do not agree with these Terms & Conditions, you must not place an order or use our services.
1. Application of Conditions
1.1 These conditions govern and are incorporated into every contract for the sale of goods and/or services made by the Seller to the Buyer.
1.2 These conditions apply to the exclusion of all other terms, including any terms contained in purchase orders or other documents issued by the Buyer, unless expressly agreed in writing by an authorised representative of the Seller.
1.3 Acceptance of delivery of goods constitutes unconditional acceptance of these Terms & Conditions.
2. Prices
2.1 Prices shall be those agreed in writing or, where no agreement exists, those in the Seller’s current price list at the time of dispatch.
2.2 The Seller reserves the right to amend prices to reflect increases in costs including materials, labour, carriage, taxes, duties, or exchange rates.
2.3 All prices are quoted exclusive of VAT, which shall be payable by the Buyer at the applicable rate.
3. Terms of Payment
3.1 Unless otherwise agreed in writing, payment must be made in full within 30 days.
3.2 Time of payment is of the essence.
3.3 The Seller may suspend or withhold deliveries where any payment is overdue.
3.4 Interest may be charged at the discretion of the seller if the buyer does not pay the sums in an appropriate time frame which could be extended to 56 days.

4.1 General
Delivery dates are estimates only and time is not of the essence.
Validated packaging is used to ensure product integrity in transit. Cold chain goods are delivered using MHRA-accredited packaging. Once goods enter an uncontrolled environment following delivery, responsibility transfers to the Buyer.
The Buyer must ensure appropriate storage conditions immediately upon receipt.
4.2 Receipt of Goods
The Buyer must be available to receive goods on first delivery attempt. Failure to do so transfers full responsibility and liability to the Buyer.
The Seller shall not be liable for goods accepted by third parties on the Buyer’s behalf, including employees, neighbours, building staff, or safe locations nominated by the Buyer.
5. Cancellation
Orders may only be cancelled with the Seller’s prior written consent and may incur cancellation charges.
Cold chain (refrigerated) goods cannot be cancelled once dispatched.
6. Returns
6.1 Goods are not supplied on a sale-or-return basis.
6.2 Cold chain goods are non-returnable, except where a proven Seller error has occurred.
6.3 Returns must be authorised by Directmeds Limited prior to return.
6.4 Breakages, discrepancies, or faulty goods must be reported within 48 hours of receipt.
6.5 Contaminated, compromised, or unsafe goods (including exposed sharps) will not be accepted.
7. Risk and Title
7.1 Risk passes to the Buyer upon delivery or attempted delivery.
7.2 Title to goods remains with the Seller until payment has been received in full.

8.1 The Seller warrants goods will be of satisfactory quality at delivery.
8.2 The Seller’s total liability shall not exceed the price paid for the goods giving rise to the claim.

Neither party shall be liable for failure or delay caused by events beyond reasonable control.
10. Orders & Specifications
Specifications are approximate unless confirmed in writing. The Seller may amend specifications to comply with regulatory or statutory requirements.
11. Termination
The Seller may terminate immediately if the Buyer:

The Buyer may not assign rights or obligations without written consent.
The Contracts (Rights of Third Parties) Act 1999 does not apply.
13. Health & Safety
The Buyer agrees to comply with all health and safety instructions supplied by the Seller.

The Seller has a general lien over Buyer goods in its possession for unpaid sums.

Headings are for convenience only and do not affect interpretation.
17. Severability
If any provision is held invalid, the remaining provisions shall remain in force.
18. Waiver
Failure to enforce rights does not constitute a waiver.
19. Representations
No representations are binding unless confirmed in writing by the Seller.
20. Notices
Notices must be in writing and delivered personally or by first-class post to the last known address.
21. Governing Law
These Terms are governed by the laws of England and Wales. The parties submit to the exclusive jurisdiction of the English courts.
22. Refund & Returns Policy (Wholesale Customers)
22.1 All sales are final. Goods are supplied strictly on a non -return basis, except where required by law or where an error has occurred that is demonstrably the fault of the Seller. If you have placed an order in error, we would require you to contact us within 48 hours of receiving the goods.
22.2 Cold chain (refrigerated) goods are strictly non-returnable and non-refundable, except in the event of:

22.10 Returned goods may be quarantined, inspected, and, where required, destroyed in accordance with MHRA Good Distribution Practice (GDP) and health and safety requirements. No refund shall be issued for goods deemed unsafe, contaminated, or non-resaleable.
22.11 The Refund & Returns Policy forms part of these Terms & Conditions and operates in accordance with all applicable pharmaceutical and regulatory requirements.
